1. About these terms

These Terms of Service ("Terms") are an agreement between you and Q+Pay LLC ("Q+Pay", "we", "us"). They apply when you use the website at useqpay.com, the Q+Pay dashboard, hosted checkout and receipt pages, the Q+Pay API, the Q+Pay Shopify app, the Q+Pay WordPress plugins, and the Q+Pay smart contract interface (together, the "Service").

A "merchant" is anyone who uses the Service to accept payments. A "buyer" is anyone who pays a merchant through the Service. By using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What Q+Pay is, and is not

Q+Pay is software. It creates payment requests, shows buyers what to pay, watches the Qubic network for the matching transaction, and tells the merchant when a payment has arrived.

Q+Pay is non-custodial. We do not hold, receive, control or move funds for anyone. Every payment is a Qubic network transaction signed by the buyer in their own wallet. It is sent either directly to the merchant's wallet, or to the Q+Pay smart contract (contract index 29, address DBAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAAHQAH), which automatically passes the payment, less the fee in section 8, to the merchant's wallet. We never have access to your wallet or your seed.

Q+Pay is not a bank, exchange, broker, escrow agent or money services business, and does not convert QU into other currencies. Nothing in the Service is investment, legal or tax advice.

3. Who can use Q+Pay

You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are subject to sanctions, or if using it would break the law where you live or do business. If you use the Service for a business, you confirm you are authorized to bind that business to these Terms.

4. Merchant accounts and API keys

You sign in to the dashboard by signing a message with your Qubic wallet. Your wallet address is your account. You are responsible for keeping your wallet, its seed and your devices secure. We cannot recover a lost wallet, reverse a transaction, or restore access to funds.

API keys let your website, store or app create payment requests that pay your wallet. Keep them secret, and revoke any key you think has been exposed. You are responsible for all activity that uses your keys.

The dashboard includes a public demo account with sample data. Payments cannot be completed from it, and anything created there may be reset at any time.

7. Paying with Q+Pay

A payment request shows the exact QU amount and the address to pay. To be matched to the request, the payment must be sent for that exact amount, before the request expires. Most requests expire after 30 minutes. A payment for the wrong amount, to the wrong address, or after expiry may not be recognized, and we cannot return it to you. In that case, contact the merchant.

Qubic transactions are final once confirmed on the network. Your purchase is an agreement between you and the merchant. Questions about an order, delivery or refund are for the merchant.

8. Fees

Using the dashboard and creating payment requests is free.

When a payment is settled through the Q+Pay smart contract, a fee of 0.75% of the payment, with a minimum of 100 QU, is deducted automatically by the contract, and the merchant receives the rest. The fee and the net amount are recorded on-chain and shown on the receipt. Payments settled directly to a merchant's wallet, for example while a feature is in testing, carry no Q+Pay fee.

Merchants can choose to add the fee to the buyer's total. Fees are not returned when a merchant refunds a payment. We may change fees by giving merchants at least 30 days' notice in the dashboard or by email. Changes apply only to payments made after they take effect.

9. Prices and exchange rates

Merchants can set prices in a traditional currency, such as US dollars. The Service converts that price to QU when the payment request is created, using a third-party market price feed. The QU amount is fixed for that request. The value of QU changes over time, and we do not guarantee any rate, or the value of QU in any currency, before or after a payment.

10. Refunds and disputes

Only a merchant can issue a refund, by sending QU from their own wallet back to the buyer. The dashboard helps a merchant prepare and record the refund, and some integrations copy it to the merchant's store. We cannot reverse, cancel or charge back a transaction, and we are not a party to disputes between merchants and buyers.

11. Integrations, plugins and the API

We provide integrations, including a Shopify app, WordPress plugins and an API, so merchants can use the Service with their existing store or site. The WordPress plugins are distributed under the GNU General Public License, version 2 or later. Your use of the hosted Service through any integration is still governed by these Terms.

Use the API within documented limits, keep your integration secure, and do not use it in a way that harms the Service or other users. We may change or retire parts of the API or an integration. We will try to give reasonable notice of changes that break existing integrations.

12. Third-party services

The Service relies on, or links to, services we do not control. These include the Qubic network and its public endpoints, wallet apps, the WalletConnect network, Shopify, WordPress and WooCommerce, market price providers, and optional services for buying QU. Your use of them is governed by their own terms. We are not responsible for their availability, accuracy or actions.

By using the Service you accept the risks that come with blockchain technology, including:

14. Intellectual property

The Q+Pay name, logo and the Service, apart from software we distribute under an open-source license, belong to us or our licensors. You may not use our name or logo in a way that suggests we endorse you without our written permission. You keep ownership of your content, such as your store name, logo and product details, and give us permission to use it only to provide the Service.

15. Suspension and ending use

You can stop using the Service at any time, and revoke your API keys from the dashboard.

We may suspend or limit your access, revoke API keys, or refuse to create payment requests for you, if we reasonably believe you have broken these Terms or the law, if it is needed to protect buyers, merchants or the Service, or if the law requires it. When we can, we will tell you why. Because we never hold funds, suspension does not affect QU already in your wallet.

16. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free or secure.

17. Limitation of liability

To the fullest extent permitted by law, Q+Pay will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or digital assets, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of the fees you paid to Q+Pay in the 12 months before the claim, or US$100.

Some jurisdictions do not allow these limits, so some of them may not apply to you.

18. Indemnity

If you are a merchant, you agree to defend and compensate Q+Pay for claims, losses and costs, including reasonable legal fees, that arise from your products or services, your dealings with buyers, or your breach of these Terms or the law.

19. Changes

We may update these Terms. When a change is material, we will post the new Terms here with a new effective date and, for merchants, give notice in the dashboard or by email at least 30 days before it takes effect, unless a faster change is required by law. Continuing to use the Service after that date means you accept the updated Terms.

20. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Any dispute will be resolved in the courts located in the State of Wyoming, unless the law where you live gives you the right to bring a claim elsewhere. Before starting a claim, please contact us so we can try to resolve it informally.
